Confidentiality Agreement

We/I, the undersigned agree that all information regarding the above will be provided for our sole use and on the following conditions:
1. No announcement or disclosure of our/my interest in the Company will be made by us or on our behalf without prior written consent of the vendor.
2. Any information in and any documents which are furnished to us/me by Christie & Co and/or the vendor at our request (“Confidential Information”) will be held in confidence and will be used only for the purpose of further exploration of the possible acquisition. The following, however, shall not be subject to this undertaking:
(a) information already known to us prior to our initial enquiry
(b) information in the public domain at the time of our initial enquiry, or information which enters the public domain afterwards for any reason not attributable to us/me.
3. The distribution by us of Confidential Information will be limited to those employees and professional advisers involved with the matter and we will notify each such employee and professional adviser of the terms of this undertaking.
4. In the event discussions terminate without an acquisition taking place, we will return to Christie & Co the Confidential Information and all copies held by employees or professional advisers. The termination of discussion shall not release us/me from our obligations under paragraph 2 or 3 above.
5. We/I recognise that:-
(a) the furnishing of Confidential Information will not constitute an offer by the vendor, nor the basis of any contract nor a representation which may be relied upon by us;
(b) neither the vendor nor his advisers accept responsibility for, or make any representations (express or implied) with respect to the accuracy or completeness of the Confidential Information.
6. We/I confirm that our interest in the Company is as principals on our own behalf and not on account of or with a view to relate to any other person.
7. Christie & Co is registered under the Data Protection Act 2018 and General Data Protection Regulation 2016 (“GDPR”) under registration number Z8293541. All Personal Data about you will be treated as private and confidential. The Christie Group will use the Personal Data supplied by you only for purposes associated with legitimate business interests such as the administration of the (potential) business relationship. We follow the rules of GDPR and the terms of our registration when dealing with your Personal Data and we have a formal complaints procedure, a copy of which is available on request or on our website at https://www.christie.com/complaints/.
